We work for the Finnish-Slovak company Solved, which provides a platform connecting experts, sustainable and smart solutions to different types of activities such as projects, events and job opportunities. As it is a “white label“ solution, the platform is used by many clusters, networks, associations or innovation ecosystems in Finland, Denmark, Germany, Austria, Switzerland, USA and Slovakia.

We have provided comprehensive IT legal services to the client, specifically represented the client in negotiating of the Work Contracts. We also drafted template contracts with the programmers, Service Level Agreements and provided complex Privacy consulting.

What was the most challenging part of this legal project?

„Setting up our contracts to be universal, to protect our intellectual property, but at the same time to be understandable and not hinder us and our team to deal with what is essential - the development of our application.“

„Professionalism, of course. As I am not a lawyer, in the first place it is the trust that is established between the law firm and the client that is the basis for a successful long-term collaboration. Next, it's about communication and flexibility, and this has always been prompt, helpful, I would even say above our expectations on the part of MATHISON.“

What made the cooperation with MATHISON special for you and how do you rate it?

„The fact that we are a small company on the one hand, but due to our activities we require a lot of attention and expertise in such a challenging topic as the actual development of technically demanding web applications can be. And we have always felt that we received so much attention that didn't take into account the fact that we are not a big client at all. On the contrary, we felt that our collaboration was mutually enriching!“

Transactional advice to a cloud-based telecommunications company

We represented Slovak company providing a call center VOIP system in the cloud in the entry of foreign VC investors. We represented the client in negotiating the Investment Agreement and related corporate changes in the company.

We handled protection of the client's source code, License Agreements between suppliers and the client, negotiation of the Investment Agreement with the investors and corporate changes in the company. We also drafted a template agreement on the processing of personal data under the GDPR and Telecommunications Act.

„It was definitely a challenge as it was something new for us. From a business point of view, the most crucial thing for us was to close this deal so that both parties were satisfied with regard to future cooperation, which I believe we finally managed to do.“

We advised this engineering company with 100+ years history on negotiation of a Work Contract. The scope of work was the manufacturing of a robotic welding cell.

As part of the project, we represented the client in a complete legal review of the contract and assisted with the preparation of legal and commercial arguments in negotiations with the customer. Working with this client confirmed to us that the modern manager needs to see clear and understandable outputs from their advisor. Therefore, for clarity we communicated the most important information to the client in the form of concise managerial summaries.

What was the most challenging part of this project for you personally?

„This was a development task for the development of an automated robotic workstation for pressure vessel welding. The technical requirements were more or less clear up front, although there was considerable uncertainty in terms of the welding process. Another, quite considerable challenge for us engineers was to get to grips with the tangle of legal wording in the customer's draft contract. We have projects in the order of hundreds of thousands of euros, and for these, in addition to the technical side, it is very important to have control over the legal side of things.“

„The ability to listen to the client's needs and provide them with advice tailored to the specific case.“

What made the cooperation with MATHISON specific for you?

„MATHISON is our main supplier, our only partner in the field of legal advice and related services. We started our cooperation when we registered our company with the public sector partner register, where they helped us, responded promptly and handled everything we needed. We also cooperated in the field of Work Contracts and labor law. What sets the firm apart from others is its customer orientation and ability to find solutions. We have tried several lawyers before, but here we got what we needed.“

Corporate counselling to a MED-TECH startup

We provided corporate services to the 2014 Business Idea of the Year finalist - we set up a simple joint-stock company, registered the securities with the Central Depository and drafted the contractual documentation for the transfer of shares. We also assisted the client in negotiating and concluding commercial agreements with suppliers and partners and provided legal protection for the client's technical solution.

The stability of the quality of our services is confirmed by the fact that we have been representing the project, which simplifies the imaging of tumors and fractures for physicians in practice, for several years, during which there have been significant changes in its development. The project has taught us a lot about TECH start-ups and we are proud to be part of it.

Asset deal for Packeta

We represented leading e-commerce tech-logistics company on the purchase of a set of properties in Slovakia.

In the transaction, we provided legal due diligence on lands and buildings, drafted and negotiated a Future Purchase Agreement and Purchase Agreement with the seller, negotiated a Work Contract with the construction company, represented the client in the cadastral proceedings and handled the communication regarding the notarial escrow of the purchase price.

GDPR for a major Slovak political and social weekly

We handled the complex GDPR documentation for a magazine .týždeň and it was a real challenge. The client processes a lot of personal data as part of their journalistic work. The client is also a book publisher, they run a popular club .pod lampou and an online ecommerce.

As these are very specific activities, in addition to the preparation of complete security documentation, we also carried out a data protection impact assessment as part of the project.

Steinringer WEB and IT solutions, s.r.o. is an Austrian-Slovak TECH company that provides IT services mainly in the field of construction, sales and property management.

We have prepared a complete GDPR agenda, security documentation, consents to the processing of personal data, and documents containing information for data subjects. As part of the preparation of template contracts with employees and service providers, we also modified the license terms to protect our client when creating new software.

„To grasp the GDPR topic, as we are a small company. We perceive that on the one hand, such legislation is the right thing to do because it addresses the peripeteia of how large companies misuse personal information. But for small companies that have a priority interest in protecting their users' personal information, as their future is based on it, the implementation of GDPR legislation is a huge burden. That's why it's crucial to have a knowledgeable, systematic and, above all, patient and helpful legal partner. MATHISON has clearly been that for us!“

Visual Reading - an educational app for people with special needs

We represented an internationally award-winning educational app for people with special needs.

We carried out a spin-off of the project from its parent company. We set up a simple joint-stock company, modified the rights to the application source code, transferred the intellectual property rights from the original authors to the new company and registered an EU trademark.

What was the most challenging part of this legal project?

Believing for a long time that we are doing the right thing. This is a next-generation learning tool that is very challenging to implement in everyday school practice, both humanly and technologically. Most special educators are not prepared to teach children in new ways, even when they use scientifically proven concepts.

The success of a law firm's work means to me that the attorney will deliver the service I require and will do so in the most efficient manner and in accordance with the current state of the law.

Everything was specific, as it was the first time I found myself in a situation where I was setting up a simple joint-stock company, and transferring the results of a project from one company to another.

We represented a leading Czech-Slovak advertising and digital services client in claiming damages from copyright infringement, in drafting Work Contracts (software, graphics, website design etc.), in drafting Licensing and Sublicensing Agreements and in recovering claims resulting from these contracts.

What was the most challenging part of this legal project for you personally?

Trying to clarify the specifics of our industry, especially the licensing terms and protecting us not only from the client but also from the contractors who are usually part of the work. It was important to explain the business model clearly enough. The challenge was to accept that there are shortcomings on our side as well, to realize them and fix them.“ 

What is key in evaluating the success of a law firm's work?

Speed and clarity in communication - we don't like legalese. With contracts, we liked the fact that the counterparties had minimal comments and mostly accepted them to the extent given. I also appreciate when contracts are written in a mutually beneficial way so that both we and the partner can swiftly confirm them.

What made the cooperation with MATHISON special for you and how do you rate it?

It was specific for us mainly in the fact that for the first time we entrusted entire legal agenda to one law firm and we did it simultaneously for a Czech and a Slovak entity. What was specific was the level of trust with which we opened up about our internal matters. However, we understood that this is what our clients want in our business and we tried it out. To this day we have no regrets and look forward to working with them again.
